From inbox to control

Negotiation history belongs with the agreement. FON keeps drafts, comments and decisions on the FCR record instead of scattering them across mailboxes. Several internal and external parties can revise at the same time, and more than one document can sit in the same negotiation. FON can run in a demilitarized zone or an application service centre, or as SaaS.

The draft stays current

FON for master agreements is offered as a subscription. The subscriber keeps a library of draft agreements, annexes and schedules, in any language, together with standard agreement-type templates and pre-approved alternative clauses. A counterparty needs only internet access. A negotiation can start from text pasted out of Word, from an FCR version sent over the FCR Bridge, or from Framesoft Contract Management over the FCM Bridge. The signed contract's data points go back for processing and reconciliation. Both parties open one contract version over a tunnel, with encryption and two-factor authentication. The negotiation leader invites the counterparty; a participant can act for their own party or as agent for another. Changes are marked in distinct colours and can be accepted or rejected at wording or clause level. Margin notes can be limited to selected parties, with more than one thread. When a clause version, a data point or an individual clause changes, the update can be merged into the document already under negotiation. A clause or data-point change can also trigger regeneration. The parties message each other inside the negotiation rather than in a side channel. When they finish, the contract can be signed in FON, including with an electronic signature, and the signed copy is archived with the reconciled data points. A clause update can be checked for how many generated agreements it would affect. A contract that starts from a third-party document can be imported so FON can match its clauses against the clause repository. An agreement-request workflow in FCR can bring that template in through FON. FAI can compare clauses, classify them and detect data points. Clause search and FDI extend the reporting on the negotiation.
